BILLING PHILOSOPHY
From time to time, businesses are forced to make critical decisions that to the uninformed, or unimaginative, may appear to be a misguided attempt to tilt at windmills. We are not afraid to invest in our clients’ objectives and become a vital part of the team, even if it appears that we are tilting at windmills. We formed this firm to focus on building better business relationships with our clients. In the last three decades, businesses, through genius and necessity, have changed —repeatedly and dramatically — to meet consumer demands and to respond to technological discoveries. During this same time, law firms have changed very little. Take away Blackberries and laptops, and most law firms would look the same now as they did in 1974. But law firms have changed their role from trusted business advisor to high-priced vendor, focused on the static notion of billable hours. Our business model is distinctly non-traditional. Without the burden of large overhead expenses, and with a desire to focus on what our clients want, we have the ability to create unique working arrangements to better meet our clients’ objectives. With programs like Virtual General Counsel, Virtual IP Counsel, and Invested Billing, we are changing the way clients are served. Virtual General CounselSM Virtual General CounselSM (“VGC”) is an on-demand legal support program that provides clients who may not need, or be able to afford, in-house general counsel. VGC is customized to meet the client’s particular support needs at a predictable, fixed rate. VGC provides legal services when the client needs them at a fraction of the cost of an in-house lawyer. Typically, the program works like this: Based on forecasting upcoming legal needs, we and the client estimate the amount of lawyer time needed in an upcoming 6- or 12-month period. In return for discounting its standard billing rate for those services, the client makes a monthly payment equal to the legal budget divided by the term of the VGC engagement. Virtual IP CounselSM Similar to VGC, Virtual IP Counsel provides technology companies with an experienced IP lawyer to serve as outside general counsel. Many technology companies, particularly start ups and pre-first round of financing ventures, require intellectual property law guidance and counseling on how to acquire IP, maximize their assets, and leverage those IP assets to maximize market share. Invested BillingSM This program allows us to share in the successes or setbacks of our transactional clients. Typically, we and the client will agree to a success bonus coupled with an agreed fee reduction if the transaction is not closed or successful. That way, if the deal gets done, we share in our client’s upside and likewise, if the deal is unsuccessful, we share in the downside.
